Our terms and conditions

Welcome to Venti Technologies Inc. ("Venti," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our software (the "Service"), a platform designed to help businesses manage and track team events. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

The Service is intended for businesses and their authorized employees or representatives ("Users"). You must be at least 18 years old and authorized by your organization to use the Service on its behalf. By using the Service, you represent that you meet these requirements.

2. Account Registration

To use the Service, your organization must register an account. You or your team administrator will provide accurate information (e.g., name, email) during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at cs@ventihq.com if you suspect unauthorized use of your account.

3. License and Use of the Service

Grant of License:

We grant your organization a non-exclusive, non-transferable, revocable license to use the Service for internal business purposes, subject to these Terms.

Restrictions:

You may not:

  • Share your account with third parties outside your organization.
  • Reverse-engineer, decompile, or attempt to access the source code of the Service.
  • Use the Service for illegal purposes or to upload harmful or infringing content.
  • Upload files exceeding 5MB each or collectively exceeding 100MB of storage per account.
  • Resell or sublicense the Service without our written permission.

4. Subscription, Trial, and Payment

Free Trial:

All users receive a 7-day free trial upon registration, during which no credit card is required. During the trial, you have full access to the Service.

Subscription Plans:

After the trial, the Service is provided on a monthly or annual subscription basis via Stripe. Pricing is available during registration or on our website. Post-trial, unpaid accounts may view their calendars but cannot edit them.

Payment Terms:

Subscription fees are charged in advance through Stripe. You authorize us to charge your provided payment method for the selected plan.

Non-Payment:

If payment fails, we may suspend your access until payment is received.

Refunds:

All fees are non-refundable, except as required by law or specified in an enterprise agreement.

Inactivity:

We may delete accounts inactive for 6 months (no logins or payments), with prior notice where feasible.

5. User Data and Intellectual Property

Your Data:

You retain full ownership of the data you input into the Service (e.g., event details, team information). By uploading data, you grant us a worldwide, non-exclusive license to use, store, and process it to provide and improve the Service.

Our Use:

We may use anonymized or aggregated data derived from your input for product improvement, analytics, or other business purposes.

Our IP:

The Service, including its software, design, and branding, is owned by Venti and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our consent.

6. Termination

By You:

You may terminate your account at any time through the Service's settings, which will permanently delete your data (see our Privacy Policy).

By Us:

We may suspend or terminate your access if you:

  • Fail to pay subscription fees after notice.
  • Misuse the Service (e.g., violating restrictions in Section 3).
  • Abuse customer support (e.g., harassment or excessive unfounded requests).

Effect of Termination:

Upon termination, your license to use the Service ends, and we may delete your data, except as required by law. For unpaid accounts post-trial, we may delete data after 6 months of inactivity.

7. Support

Standard Support:

We offer customer support via email or other communication channels on a best-efforts basis. Response times may vary. Contact us at cs@ventihq.com.

Enterprise Support:

Customers on enterprise plans receive premium support as outlined in their specific Service Level Agreements (SLAs).

8. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee that it will be error-free, uninterrupted, or suitable for every purpose. We are not liable for losses caused by your reliance on the Service, third-party actions, or events beyond our reasonable control (e.g., internet outages).

9. Limitation of Liability

To the fullest extent permitted by law, Venti's total liability for any claims arising from these Terms or the Service will not exceed the amount your organization paid us in the past 12 months. We are not liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss).

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved exclusively in the provincial courts located in Ontario, Canada.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
